ACTIVATE THE HUSTLE

TERMS & CONDITIONS

Effective Date: August 1, 2026

These Terms & Conditions (“Terms”) are a legally binding agreement between you and Activate The Hustle (“ATH,” “Activate The Hustle,” “we,” “us,” or “our”) governing your access to and use of the Activate The Hustle website located at https://activatethehustle.com/, the Activate The Hustle mobile application, and all related products, services, features, programs, content, marketplaces, communications tools, events, memberships, rewards, and functionality collectively referred to as the “Services.”

By accessing the Services, creating an account, checking an acceptance box, purchasing a membership, making a purchase, selling or listing products or services, submitting content, publishing an event, or otherwise using ATH, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree, do not create an account or use the Services.

  • Users retain ownership of content they create, subject to the license granted to ATH in these Terms.
  • 4Diamond Se7en Collection is an ATH rewards system and is not itself cash or a bank account.
  • ATH may separately offer qualifying referral or promotional cash earnings.
  • ATH may suspend or terminate accounts for violations, fraud, abuse, unsafe conduct, or other violations of these Terms.
  • Most disputes are subject to a 30-day informal resolution process followed by individual binding arbitration, subject to the exceptions explained below.
  • These Terms contain limitations of liability, a class-action waiver, and a jury-trial waiver to the extent permitted by law.

1. ABOUT ACTIVATE THE HUSTLE

Activate The Hustle is a platform designed to help users network, collaborate, build businesses, promote projects, discover events, access community resources, connect with entrepreneurs, buy and sell qualifying products and services, book services, share content, and participate in ATH programs.

ATH may both:

  1. directly provide certain products, programs, content, events, memberships, and services; and
  2. provide technology that enables independent users, creators, entrepreneurs, organizers, businesses, sellers, service providers, and collaborators to interact with each other.

Unless ATH expressly agrees otherwise in writing, ATH is not a party to agreements made solely between users.

2. ATH FEATURES AND SERVICES

ATH Services may include, without limitation:

2.1 Alpha Recharge

Alpha Recharge provides motivational, inspirational, educational, personal-development, lifestyle, and general informational content or suggestions.

Content may be created by ATH personnel, artificial intelligence systems, contributors, third parties, or a combination of sources.

2.2 Project Link-Up

Project Link-Up allows members to publish projects, seek collaborators, connect with other members, and develop projects together.

2.3 Hustle Re-Up

Hustle Re-Up provides one-on-one business and creative assistance, which may include:

  • business startup assistance;
  • branding;
  • website creation;
  • graphic and digital creation;
  • marketing support;
  • business plans;
  • social-media setup;
  • consulting;
  • business assistance;
  • incorporation-related administrative assistance; and
  • other services offered by ATH from time to time.

2.4 We Outside

We Outside provides event listings, activities, places to go, community events, ATH events, member-submitted events, and third-party event information.

2.5 Hustle Feed

Hustle Feed is ATH’s community content-sharing area, where qualifying members may share text, photographs, video, audio, music, links, promotions, products, projects, events, and other permitted content.

ATH may refer to comments or interactions as a “Collab.”

2.6 Collab Center

Collab Center provides member-to-member communications and messaging.

2.7 Network / Tap In

ATH may use terms such as “Network” or “Tap In” for member-to-member connections rather than “following.”

2.8 4Diamond Se7en

4Diamond Se7en is ATH’s member reward and benefit program, as explained further below.

2.9 Additional Features

ATH may introduce additional features, tools, services, programs, membership benefits, or functionality.

Unless separate terms apply, new features are governed by these Terms.

3. PUBLIC ACCESS AND MEMBER ACCESS

Certain ATH content may be available without registration, including portions of:

  • We Outside;
  • public member profiles; and
  • Hustle Re-Up information.

Creating an account may provide access to additional features.

Qualifying registered or paid members may receive access to features including:

  • member content;
  • Project Link-Up submissions;
  • Hustle Feed posting;
  • Collab Center;
  • networking features;
  • selling products;
  • accepting bookings;
  • food listings;
  • event submissions;
  • member rewards;
  • weekly informational live streams;
  • paid-member features;
  • 4Diamond Se7en benefits; and
  • other membership-only functionality.

Access depends on membership level, eligibility, location, verification, platform availability, and applicable law.

4. AGE AND ELIGIBILITY

You must be at least 18 years old to create an ATH account.

Individuals under 18 may access publicly available areas of ATH only with appropriate parental or guardian supervision and may not create an ATH account.

The following activities are restricted to adults age 18 or older:

  • selling products;
  • selling food;
  • accepting bookings;
  • receiving payouts;
  • creating business listings;
  • entering paid collaborations;
  • operating seller/provider functionality; and
  • participating in other adult-only commercial features.

By creating an account, you represent that you are legally capable of entering into these Terms.

ATH may impose additional eligibility requirements for particular Services.

5. ACCOUNT REGISTRATION

ATH may offer free and paid accounts.

You agree to:

  1. provide accurate and current information;
  2. maintain accurate account information;
  3. protect your login credentials;
  4. keep your password confidential;
  5. promptly notify ATH of suspected unauthorized access; and
  6. take responsibility for activity conducted through your account, to the extent permitted by law.

Users may choose their own permitted usernames and profile names.

ATH may permit personal and business profiles.

Unless ATH expressly permits otherwise:

  • each user may maintain only one ATH account/profile;
  • accounts may not be sold, transferred, rented, or shared; and
  • another person may not use your account credentials.

ATH may require verification at any time.

6. USER AND BUSINESS VERIFICATION

Certain selling, food, booking, business, event, or professional features may require verification.

Verification may include:

  • Stripe or payment-provider verification;
  • business email verification;
  • identity information;
  • business information;
  • licenses;
  • permits;
  • tax information;
  • documentation; or
  • other information reasonably requested by ATH.

Verification does not mean ATH endorses, guarantees, certifies, recommends, licenses, insures, or has conducted a criminal background check on a user.

ATH does not ordinarily conduct criminal background checks unless expressly stated otherwise.

ATH may request additional verification documents at any time.

7. MEMBERSHIPS

ATH may offer free and paid membership plans.

Paid membership periods may include:

  • monthly plans;
  • three-month plans;
  • annual plans; and
  • other plans introduced later.

Membership benefits may vary by plan.

Paid benefits may include:

  • additional platform access;
  • access to member-only submission features;
  • weekly informational livestreams;
  • qualifying 4Diamond Se7en access;
  • enhanced platform functionality; and
  • other benefits described at the time of purchase.

ATH may add, modify, replace, or discontinue membership benefits prospectively.

8. AUTOMATIC RENEWAL

Certain ATH paid memberships automatically renew.

Before subscribing, users will be presented with the applicable:

  • price;
  • billing period;
  • renewal terms;
  • trial terms, if applicable;
  • cancellation terms; and
  • other material subscription information.

Unless canceled in accordance with the applicable subscription process, an automatically renewing membership may renew for additional billing periods and the applicable payment method may be charged.

By purchasing an automatically renewing membership and affirmatively accepting the subscription terms, you authorize applicable recurring charges until cancellation.

Where required, purchases made through Apple, Google, or another application marketplace are also governed by that marketplace’s applicable billing, subscription-management, cancellation, and refund rules.

9. CANCELLATION

Members may cancel automatic renewal at any time through the available cancellation method.

Cancellation ordinarily:

  1. stops future automatic renewals; and
  2. allows membership access to continue until the end of the already-paid billing period.

Cancellation does not ordinarily produce a refund for the unused portion of a paid billing term unless:

  • ATH expressly approves a refund;
  • an advertised offer provides otherwise;
  • a prorated refund is expressly provided; or
  • applicable law requires otherwise.

10. FREE TRIALS

ATH may offer a 3-day free trial or other promotional trials.

Where a payment method is required, the user authorizes ATH or its payment provider to begin charging the selected paid membership after the trial ends unless the membership is canceled before the applicable deadline.

A person may not create multiple accounts or otherwise manipulate the Services to obtain repeated trials.

ATH may modify, restrict, suspend, or discontinue trial offers prospectively, subject to applicable law.

Specific trial disclosures presented at signup control over inconsistent general promotional language.

11. MEMBERSHIP PAYMENTS AND REFUNDS

Except as required by applicable law or expressly stated otherwise, membership payments are non-refundable once charged.

ATH may, in its discretion and subject to applicable law, approve a full or partial refund in appropriate circumstances.

If ATH advertises a particular refund guarantee, promotion, or special refund right, that offer will be governed by its stated conditions.

Canceling future renewal does not ordinarily create a right to recover fees already paid.

12. PAYMENT PROCESSING

ATH may support payment methods or providers including:

  • Stripe;
  • Apple Pay;
  • Cash App;
  • Klarna; and
  • other payment methods made available from time to time.

Availability depends on transaction type, location, device, eligibility, and third-party availability.

Payment providers operate under their own terms and privacy practices.

ATH is not responsible for a third-party payment service’s independent acts, outages, policies, or decisions except to the extent required by law.

13. MARKETPLACE, SALES, AND BOOKINGS

ATH may allow qualifying users to:

  • sell products;
  • sell qualifying food;
  • offer services;
  • receive bookings;
  • sell event access;
  • promote businesses;
  • provide professional or creative services; and
  • conduct other approved commercial activity.

Depending on the transaction, ATH may either process or facilitate payment, or users may transact directly.

Unless ATH expressly states otherwise, sellers and providers set their own prices.

ATH may charge:

  • service fees;
  • transaction fees;
  • commissions;
  • listing fees;
  • percentages;
  • fixed charges; or
  • combinations of fees.

Fees may vary by transaction, product, feature, user category, or program.

Applicable fees will be disclosed through the relevant Service or transaction flow.

ATH may prospectively change platform fees after appropriate notice.

ATH platform fees are generally non-refundable unless required by law or expressly stated otherwise.

14. SELLER AND PROVIDER RESPONSIBILITIES

Sellers and providers are solely responsible for their own:

  • prices;
  • product descriptions;
  • service descriptions;
  • availability;
  • inventory;
  • qualifications;
  • licenses;
  • shipping;
  • delivery;
  • fulfillment;
  • cancellations;
  • refunds;
  • returns;
  • customer service;
  • product quality;
  • service quality;
  • booking performance;
  • event information;
  • warranties they independently provide;
  • taxes;
  • regulatory compliance; and
  • disputes with customers.

Listings must be accurate and not misleading.

False prices, deceptive listings, materially inaccurate descriptions, fraudulent claims, or misleading qualifications are prohibited.

ATH may restrict or remove a seller/provider based on fraud, excessive chargebacks, complaints, unsafe conduct, cancellations, legal violations, or Terms violations.

15. LICENSES, PERMITS, AND INSURANCE

Users are solely responsible for determining and maintaining all licenses, permits, registrations, certifications, insurance, approvals, and other legal requirements applicable to their activities.

The ability to list something on ATH does not mean that the activity is legally authorized.

ATH may remove or restrict any listing or seller that ATH reasonably believes lacks required authorization or creates legal or safety risks.

16. FOOD SALES

ATH may permit qualifying food listings, including:

  • homemade food where lawful;
  • restaurants;
  • independent food vendors;
  • catering;
  • food trucks;
  • pop-ups; and
  • other permitted food businesses.

Food sellers are entirely responsible for:

  • ingredients;
  • allergen disclosures;
  • preparation;
  • cleanliness;
  • sanitation;
  • storage;
  • temperature control;
  • labeling;
  • packaging;
  • delivery;
  • permits;
  • licensing;
  • health-code compliance; and
  • food safety.

Users with allergies, intolerances, sensitivities, dietary restrictions, or medical conditions are responsible for communicating with sellers and determining whether a product is appropriate for them.

ATH does not inspect, prepare, manufacture, store, certify, or guarantee third-party food.

To the fullest extent permitted by law, ATH is not responsible for allergic reactions, foodborne illness, contamination, preparation, labeling errors, improper storage, or food quality caused by independent sellers.

17. WE OUTSIDE AND EVENTS

We Outside may list:

  • official ATH events;
  • member-submitted events;
  • independent organizer events;
  • community events; and
  • third-party events.

ATH may sell event access directly, facilitate ticket purchases, or redirect users to third-party ticket providers.

ATH may approve, reject, modify, unpublish, or remove event listings.

For events not organized by ATH, the organizer—not ATH—is responsible for:

  • event accuracy;
  • dates and times;
  • venue conditions;
  • permits;
  • security;
  • accessibility;
  • admission;
  • age restrictions;
  • cancellations;
  • rescheduling;
  • refunds;
  • alcohol-related requirements;
  • conduct;
  • safety; and
  • compliance with law.

Third-party organizers handle their own refunds unless expressly stated otherwise.

If an organizer cancels or materially changes an event, the organizer must provide appropriate next-step information to attendees.

18. EVENT SAFETY AND ASSUMPTION OF RISK

Attending in-person events may involve risks, including:

  • physical injury;
  • illness;
  • crowds;
  • transportation;
  • theft;
  • property loss;
  • weather;
  • alcohol;
  • venue conditions;
  • interaction with strangers; and
  • other foreseeable or unforeseeable risks.

Users voluntarily decide whether to attend.

To the fullest extent permitted by law, users assume risks inherent in attending third-party events.

If ATH directly organizes an event, separate event-specific:

  • rules;
  • releases;
  • waivers;
  • ticket conditions;
  • refund terms;
  • codes of conduct; or
  • safety requirements

may apply in addition to these Terms.

If ATH postpones or materially reschedules an ATH-organized event, ATH may permit attendees to retain tickets for the replacement date or request a refund within a stated period, subject to event-specific terms.

19. HUSTLE RE-UP SERVICES

Hustle Re-Up services are generally purchased separately from ATH membership unless otherwise stated.

Pricing may be fixed, custom-quoted, or both.

ATH does not guarantee that Hustle Re-Up will produce:

  • revenue;
  • business success;
  • investors;
  • financing;
  • customers;
  • sales;
  • audience growth;
  • employment;
  • profitability; or
  • any particular commercial result.

Clients may cancel a project after work begins, subject to applicable project terms and payment obligations.

Upon cancellation, ATH may provide work completed through the effective cancellation date.

Unless a separate written agreement states otherwise, fees attributable to work already performed are non-refundable.

20. HUSTLE RE-UP INTELLECTUAL PROPERTY

After full payment, the client will own the custom final deliverables specifically created for that client, except for excluded materials.

ATH retains ownership of its:

  • pre-existing templates;
  • tools;
  • systems;
  • techniques;
  • processes;
  • frameworks;
  • software;
  • source systems;
  • reusable components;
  • know-how; and
  • materials developed independently of the client engagement.

Third-party materials remain subject to the rights of their respective owners.

ATH may display completed client work in ATH portfolios, case studies, websites, social media, or promotional materials unless a separate written agreement provides otherwise.

21. ALPHA RECHARGE DISCLAIMER

Alpha Recharge is provided for general informational, motivational, inspirational, educational, and entertainment purposes only.

It is not a substitute for:

  • medical advice;
  • mental-health treatment;
  • legal advice;
  • tax advice;
  • financial advice;
  • investment advice;
  • professional counseling; or
  • other licensed professional services.

Users should consult an appropriately qualified professional before making significant decisions involving health, mental health, finances, law, taxes, safety, or other professional matters.

ATH does not guarantee the accuracy, completeness, usefulness, appropriateness, or results of Alpha Recharge content.

Alpha Recharge is not an emergency or crisis service.

22. PROJECT LINK-UP

Users retain ownership of the projects, ideas, materials, and content they submit to Project Link-Up, subject to the license granted to ATH under these Terms.

Unless ATH expressly enters a separate written agreement concerning a project:

  • ATH is not a project owner;
  • ATH is not a collaborator;
  • ATH is not a joint venturer;
  • ATH is not responsible for project completion;
  • ATH does not determine ownership percentages;
  • ATH does not determine revenue splits;
  • ATH does not determine credits;
  • ATH does not guarantee payments;
  • ATH does not guarantee confidentiality; and
  • ATH is not responsible for collaborator disputes.

Collaborators are responsible for creating their own agreements regarding:

  • ownership;
  • payments;
  • revenue;
  • intellectual property;
  • credits;
  • confidentiality;
  • deadlines;
  • responsibilities;
  • deliverables; and
  • termination.

If ATH becomes formally affiliated with a project, that relationship must be governed by a separate agreement.

No ATH ownership interest arises merely because users connected through Project Link-Up.

23. HUSTLE FEED AND USER CONTENT

ATH may permit users to submit:

  • text;
  • photographs;
  • video;
  • audio;
  • music;
  • links;
  • promotions;
  • product information;
  • business information;
  • events;
  • project information;
  • reviews; and
  • other content.

You retain ownership of original content you submit.

You may not upload or distribute material you do not own or have permission to use.

You represent and warrant that you possess all necessary rights, licenses, releases, permissions, and consents for content you submit.

Third-party services such as YouTube may be accessible through links, embeds, or integrations. Such content remains subject to the applicable third-party platform’s terms.

24. LICENSE TO ATH

By posting, uploading, publishing, submitting, or making content available through ATH, you grant ATH a non-exclusive, worldwide, royalty-free license to:

  • host;
  • store;
  • reproduce;
  • format;
  • adapt for technical display;
  • transmit;
  • display;
  • distribute; and
  • otherwise use

your content as reasonably necessary to operate, maintain, improve, secure, provide, market, and promote the Services.

You retain ownership of your content.

ATH may feature public ATH posts, profiles, businesses, projects, events, or other public content in ATH promotional or advertising materials.

This license generally ends when the applicable content is deleted, except where continued retention or use is reasonably necessary because of:

  • technical backups;
  • legal obligations;
  • fraud prevention;
  • disputes;
  • enforcement;
  • content previously shared or incorporated into platform activity;
  • records reasonably necessary for platform operation; or
  • other lawful purposes.

25. REVIEWS

Reviews must reflect genuine experiences and may not be:

  • fake;
  • purchased;
  • manipulated;
  • fraudulent;
  • misleading;
  • retaliatory;
  • generated to artificially improve ratings; or
  • submitted in violation of these Terms.

Businesses may respond to reviews where ATH provides that functionality.

ATH may remove reviews that violate these Terms or applicable law.

26. FEEDBACK TO ATH

If you voluntarily provide ATH with ideas, recommendations, suggestions, feature requests, concepts, or other feedback concerning ATH or the Services, ATH may use that feedback without royalty, payment, restriction, or compensation to you.

This provision does not transfer ownership of unrelated user projects submitted through Project Link-Up.

27. COLLAB CENTER

Collab Center messages are intended for communications between users.

ATH does not routinely review every private message solely for general monitoring purposes.

However, ATH may access, review, preserve, process, or disclose messages when reasonably necessary to:

  • investigate user reports;
  • investigate suspected Terms violations;
  • prevent fraud;
  • protect users;
  • address safety concerns;
  • maintain platform security;
  • provide or troubleshoot Services;
  • comply with law;
  • comply with valid legal process;
  • enforce these Terms; or
  • respond to emergencies involving serious risk of harm.

Users may have access to reporting and blocking tools.

28. SENSITIVE INFORMATION

Do not send through Collab Center:

  • passwords;
  • Social Security numbers;
  • full government-identification numbers;
  • full payment-card information;
  • bank login credentials;
  • authentication codes;
  • private cryptographic keys; or
  • other highly sensitive financial or security credentials.

ATH does not require users to transmit this information to other members through Collab Center.

29. 4DIAMOND SE7EN COLLECTION

4Diamond Se7en Collection is ATH’s umbrella rewards and benefits system.

Collection may be awarded for qualifying ATH participation, including activities such as:

  • supporting qualifying music or tracks;
  • qualifying listens;
  • verified native station plays;
  • Hustle Feed Locked In collaborations;
  • Project Link-Up Locked In collaborations;
  • Tap In network connections;
  • publishing qualifying We Outside events;
  • completed bookings;
  • qualifying purchases;
  • purchase milestones;
  • profile completion;
  • Regional Connect referrals;
  • eligible collaborative events;
  • membership activity; and
  • other qualifying activity designated by ATH.

Specific earning rules may vary.

30. EXAMPLES OF COLLECTION EARNING

ATH may establish rules including:

30.1 Supporter Activity

A supporting member may receive Collection once per qualifying track or qualifying interaction.

30.2 Artist Activity

An artist may receive Collection for qualifying unique supporters.

30.3 Listening Activity

Logged-in members may receive Collection for qualifying listening activity, subject to per-track, per-day, or other limits.

30.4 Verified Station Plays

Artists may receive Collection for qualifying native Play Block station plays.

ATH may impose daily caps across an artist’s tracks.

30.5 Locked In Collaborations

Qualifying collaborators may receive Collection when a Hustle Feed or Project Link-Up collaboration is marked Locked In.

30.6 Tap In Connections

Members may receive Collection for new qualifying direct Tap In connections.

Each unique pair may be reward-eligible only once.

Daily limits may apply.

30.7 We Outside

Hosts may receive Collection for qualifying published event activity.

Daily limits may apply.

30.8 Bookings

ATH may award Collection to customers and/or providers when qualifying ATH bookings are marked completed.

30.9 Purchases

Members may earn Collection based on completed purchases or whole currency units spent on eligible completed orders.

30.10 Order Bonuses and Milestones

ATH may offer bonuses for completed orders or reaching designated milestones.

30.11 Profile Completion

ATH may award a one-time Collection bonus for completing designated profile requirements.

30.12 Regional Connect

ATH may offer benefits for qualifying referrals, including where a referred user:

  • registers using a qualifying referral process;
  • becomes an eligible paid member;
  • completes qualifying activity;
  • participates in qualifying projects; or
  • participates in eligible collaborative events.

ATH determines whether activity satisfies reward requirements.

31. COLLECTION HAS NO GUARANTEED CASH VALUE

4Diamond Se7en Collection is an ATH ecosystem reward.

Unless ATH expressly states otherwise for a particular benefit:

  • Collection is not cash;
  • Collection is not legal tender;
  • Collection is not a bank deposit;
  • Collection is not cryptocurrency;
  • Collection is not a debit account;
  • Collection is not transferable;
  • Collection cannot be sold;
  • Collection cannot be exchanged between members; and
  • Collection has no guaranteed monetary value.

4Diamond Se7en is a membership/rewards card or program within the ATH ecosystem and is not a bank card or debit card.

32. SEPARATE REFERRAL OR PROMOTIONAL EARNINGS

ATH may separately offer qualifying cash referral earnings, project-related incentives, or other cash promotional benefits.

These cash incentives are distinct from ordinary 4Diamond Se7en Collection.

Eligibility may depend on:

  • qualified member referrals;
  • paid membership conversion;
  • qualifying Project Link-Up referrals;
  • collaborative projects;
  • qualifying events;
  • completed activity; or
  • other conditions published by ATH.

Eligible cash payments may be delivered through Stripe or another designated payout process.

ATH may require verification before payment.

There is no guaranteed right to receive cash unless all applicable eligibility requirements have been satisfied.

33. REWARD CAPS, EXPIRATION, AND CHANGES

ATH may impose:

  • per-action limits;
  • per-track limits;
  • daily limits;
  • weekly limits;
  • monthly limits;
  • account-level limits;
  • program limits; or
  • other reasonable earning caps.

Rewards may expire according to the conditions applicable to the particular reward.

ATH may prospectively modify:

  • earning rates;
  • eligibility;
  • available rewards;
  • benefits;
  • caps;
  • redemption methods;
  • program structure; or
  • the 4Diamond Se7en program itself.

If ATH materially changes or discontinues the program, ATH will generally provide users a reasonable opportunity to use legitimately earned, unexpired rewards where reasonably practicable and required by applicable terms or law.

ATH may immediately cancel, reverse, or revoke rewards associated with fraud, abuse, errors, chargebacks, manipulation, or Terms violations.

34. REWARD FRAUD AND NEGATIVE BALANCES

ATH may delay, deny, reverse, investigate, or cancel rewards or payouts involving suspected:

  • fake accounts;
  • bots;
  • self-referrals;
  • artificial listening;
  • fake plays;
  • fake purchases;
  • refund manipulation;
  • chargebacks;
  • collusion;
  • manipulated bookings;
  • fraudulent collaborations;
  • fabricated connections;
  • event manipulation;
  • reward farming; or
  • other abuse.

If an underlying transaction is:

  • refunded;
  • canceled;
  • reversed;
  • disputed;
  • charged back;
  • deemed fraudulent; or
  • otherwise invalidated,

ATH may reverse associated Collection.

A reversal may result in a negative Collection balance.

ATH may offset a negative balance against future rewards or payments where permitted.

35. PROHIBITED CONDUCT

You may not use ATH to engage in or facilitate:

  • fraud;
  • scams;
  • harassment;
  • bullying;
  • threats;
  • violence;
  • hate speech;
  • sexual exploitation;
  • pornographic or sexually explicit content;
  • illegal goods or services;
  • unlawful drug or controlled-substance transactions;
  • weapons sales;
  • trafficking or exploitation;
  • impersonation;
  • spam;
  • malware;
  • hacking;
  • stolen-property sales;
  • counterfeit goods;
  • copyright infringement;
  • trademark infringement;
  • fake reviews;
  • fake engagement;
  • artificial reward manipulation;
  • unauthorized scraping;
  • harvesting member information without permission;
  • unauthorized bots;
  • security circumvention;
  • reverse engineering;
  • account sharing;
  • ban evasion;
  • unauthorized resale of ATH access;
  • misuse of ATH intellectual property;
  • use of ATH materials to create a competing service in violation of ATH rights; or
  • unlawful conduct of any kind.

Music and audio are permitted subject to these Terms and applicable rights.

Pornographic or sexually explicit adult content is not permitted.

Legitimate promotion of businesses, services, products, music, events, and projects is allowed through permitted ATH functionality.

36. ENFORCEMENT

ATH may investigate suspected violations.

ATH may:

  • remove content;
  • remove listings;
  • restrict functionality;
  • temporarily suspend accounts;
  • place transactions on hold;
  • restrict rewards;
  • request documents;
  • restrict selling privileges;
  • cancel listings;
  • terminate accounts; or
  • permanently ban users.

Attempting to evade a suspension or ban is itself prohibited.

ATH may take action where ATH reasonably believes conduct is:

  • unsafe;
  • misleading;
  • fraudulent;
  • illegal;
  • abusive;
  • inappropriate;
  • harmful to the community; or
  • inconsistent with these Terms.

37. INTELLECTUAL PROPERTY OF ATH

ATH owns or controls, as applicable, its:

  • names;
  • logos;
  • branding;
  • website/app design;
  • software;
  • original content;
  • documentation;
  • graphics;
  • interface elements;
  • 4Diamond Se7en branding;
  • Alpha Recharge branding;
  • Hustle Feed branding;
  • Project Link-Up branding;
  • Collab Center branding;
  • We Outside branding;
  • Hustle Re-Up branding; and
  • other proprietary materials.

Except as expressly permitted, you may not copy, reproduce, modify, distribute, reverse engineer, resell, scrape, exploit, or create derivative commercial products from ATH intellectual property.

ATH may provide approved promotional creative materials to members.

Members may use only the promotional materials ATH specifically provides or authorizes, and only in accordance with ATH’s instructions.

No other trademark or brand license is granted.

38. COPYRIGHT AND DMCA

ATH respects intellectual-property rights.

Users may not post content that infringes another person’s copyright or other intellectual-property rights.

A copyright infringement notice should include information sufficient to identify:

  1. the copyrighted work claimed to have been infringed;
  2. the allegedly infringing material and its location;
  3. the complaining party’s contact information;
  4. a statement of good-faith belief that the disputed use is unauthorized;
  5. a statement, under penalty of perjury, that the information in the notice is accurate and that the complaining party is authorized to act; and
  6. the physical or electronic signature of the authorized person.

ATH may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

ATH may implement a counter-notification process consistent with applicable law.

ATH may separately designate and maintain a DMCA agent with the U.S. Copyright Office.

39. THIRD-PARTY SERVICES AND LINKS

ATH may contain links to, integrations with, embedded content from, or services provided by third parties.

Third parties operate under their own terms and privacy policies.

ATH does not control third-party:

  • availability;
  • content;
  • security;
  • products;
  • policies;
  • representations;
  • services; or
  • business practices.

Use third-party services at your own discretion.

40. INDEPENDENT SELLERS AND PROVIDERS

Sellers, service providers, creators, event organizers, and businesses using ATH are independent parties.

Their participation does not create an:

  • employer-employee relationship;
  • agency;
  • partnership;
  • joint venture;
  • franchise;
  • fiduciary relationship; or
  • representative relationship with ATH.

Unless ATH expressly agrees otherwise in writing, users have no authority to bind ATH or make promises on ATH’s behalf.

Independent sellers/providers determine how they operate and remain responsible for their personnel, businesses, taxes, permits, insurance, products, and services.

41. MEMBER-TO-MEMBER DISPUTES

Users are responsible for their own:

  • interactions;
  • arrangements;
  • collaborations;
  • transactions;
  • projects;
  • services;
  • purchases;
  • communications; and
  • offline meetings.

ATH is not responsible for disputes involving:

  • unpaid work;
  • intellectual-property ownership;
  • collaboration disagreements;
  • missed appointments;
  • product disputes;
  • service disputes;
  • unsuccessful projects;
  • personal conflicts;
  • refunds;
  • offline encounters; or
  • other member-to-member matters.

ATH may, but is not obligated to, assist users in communicating about a dispute.

Any such assistance is a courtesy and does not make ATH a mediator, arbitrator, guarantor, agent, or party to the underlying dispute.

42. TRANSACTION HOLDS, CHARGEBACKS, AND OFFSETS

Where legally permitted and consistent with applicable payment-provider requirements, ATH may:

  • withhold funds;
  • delay funds;
  • place reserves;
  • restrict withdrawals;
  • offset amounts;
  • reverse credits; or
  • delay payouts

in connection with:

  • chargebacks;
  • disputes;
  • fraud investigations;
  • legal requirements;
  • payment-provider requirements;
  • refunds;
  • negative balances;
  • account reviews; or
  • Terms violations.

If a seller owes ATH money due to refunds, fees, reversals, chargebacks, or other obligations, ATH may deduct amounts owed from future qualifying payments or rewards where permitted.

43. TAXES

Users are responsible for determining and paying taxes associated with their sales, services, rewards, income, or earnings unless ATH is legally required to collect, withhold, report, or remit those taxes.

Qualifying sellers/providers may receive tax documentation, including applicable Form 1099 reporting, where required by law.

Tax forms may be issued by ATH or an applicable payment provider depending on the transaction structure.

ATH does not provide tax advice.

44. PRIVACY

ATH’s collection and use of personal information is also governed by its Privacy Policy, which is incorporated into these Terms by reference where permitted.

ATH may collect information necessary to provide Services, including information associated with:

  • names;
  • email addresses;
  • phone numbers;
  • addresses;
  • profiles;
  • photographs;
  • businesses;
  • payments;
  • purchases;
  • bookings;
  • messages;
  • content;
  • location;
  • device information;
  • IP addresses;
  • reward activity; and
  • features users choose to activate.

ATH uses Google Analytics and may use other disclosed analytics technologies.

ATH does not sell personal information to advertisers as represented in its Privacy Policy.

If these Terms conflict with the Privacy Policy regarding treatment of personal information, applicable law and the more specific privacy disclosure will control.

45. COMMUNICATIONS

ATH may send:

  • account emails;
  • service communications;
  • transactional emails;
  • marketing communications;
  • text/SMS messages;
  • push notifications;
  • safety notices; and
  • legal notices.

Where legally required, marketing communications will be subject to applicable consent and opt-out requirements.

Users may opt out of promotional communications while continuing to receive essential transactional, security, legal, billing, or account-related messages.

46. MOBILE APP PERMISSIONS

ATH mobile applications may request device permissions including:

  • camera access;
  • photo-library access;
  • microphone access;
  • location access; and
  • notification permissions.

ATH will request permissions through applicable device or operating-system mechanisms.

Users may manage permissions through device settings, although disabling certain permissions may limit functionality.

47. APP STORE AND GOOGLE PLAY TERMS

ATH may distribute its application through the Apple App Store and Google Play.

Where applicable, use of those platforms is subject to their respective terms.

Purchases or subscriptions processed through an application marketplace may also be subject to that marketplace’s:

  • billing rules;
  • payment requirements;
  • subscription management;
  • cancellation process;
  • refund process; and
  • technical restrictions.

If marketplace terms legally control a marketplace transaction, those terms will apply to that transaction to the extent of the conflict.

48. INTERNATIONAL ACCESS

ATH may be available internationally, subject to legal, technical, payment, regulatory, and operational restrictions.

ATH does not represent that:

  • every Service is available everywhere;
  • every payment method works everywhere;
  • every reward is available everywhere;
  • every event is accessible everywhere; or
  • use of ATH is lawful in every jurisdiction.

Users are responsible for complying with laws applicable in their location.

ATH may restrict, suspend, or block access from any country or region where reasonably necessary for legal, regulatory, safety, sanctions, operational, or business reasons.

49. ACCOUNT DELETION

Users may request permanent deletion of their ATH account through available account settings or another designated process.

Deletion may terminate access to member-only functionality.

Public Hustle Feed posts associated solely with the user will ordinarily be removed upon account deletion, subject to technical, legal, and operational exceptions.

50. DATA RETENTION AFTER DELETION

Deleting an account does not necessarily require immediate deletion of every record.

ATH may retain information for as long as reasonably necessary for:

  • legal compliance;
  • taxes;
  • accounting;
  • regulatory obligations;
  • fraud prevention;
  • safety;
  • security;
  • dispute resolution;
  • chargebacks;
  • backups;
  • enforcement;
  • transaction records; or
  • other lawful purposes.

ATH will handle retention in accordance with its Privacy Policy and applicable law.

51. PROJECTS AND TRANSACTIONS AFTER ACCOUNT CLOSURE

Deleting, suspending, terminating, or closing an account does not erase obligations incurred before closure.

For unfinished Project Link-Up collaborations:

  • the departing user’s platform participation may end;
  • the project may become inactive or otherwise be closed as to that user; but
  • pre-existing ownership, payment, confidentiality, contractual, and dispute obligations remain unaffected.

Sellers/providers with outstanding orders or bookings remain responsible for:

  • fulfillment;
  • applicable refunds;
  • cancellations;
  • returns;
  • chargebacks;
  • disputes; and
  • other obligations arising before closure.

Outstanding fees, negative balances, refunds, reversals, payment obligations, and other accrued liabilities survive account termination.

52. SUSPENSION AND TERMINATION BY ATH

ATH may suspend, restrict, or terminate access where ATH reasonably determines that a user:

  • violated these Terms;
  • engaged in fraud;
  • created safety risks;
  • harassed others;
  • conducted illegal activity;
  • failed to pay amounts due;
  • abused rewards;
  • created excessive payment risk;
  • violated another person’s rights;
  • misused platform functionality; or
  • created material risk to ATH or its community.

ATH may act immediately where reasonably necessary for safety, fraud prevention, legal compliance, payment risk, or serious violations.

53. SERVICE AVAILABILITY

ATH does not guarantee that the Services will always be:

  • uninterrupted;
  • error-free;
  • secure;
  • available;
  • compatible with every device; or
  • free of technical problems.

ATH may temporarily suspend, modify, restrict, or discontinue Services for:

  • maintenance;
  • upgrades;
  • security;
  • emergencies;
  • technical issues;
  • legal requirements;
  • operational changes; or
  • business reasons.

ATH does not promise a specific uptime unless a separate written agreement expressly provides one.

54. EVENTS OUTSIDE ATH’S CONTROL

To the fullest extent permitted by law, ATH is not responsible for delay or failure caused by circumstances outside its reasonable control, including:

  • cloud or hosting outages;
  • telecommunications outages;
  • internet failures;
  • cyberattacks;
  • natural disasters;
  • fire;
  • flood;
  • severe weather;
  • governmental actions;
  • labor disruptions;
  • payment-network failures;
  • financial-system failures;
  • epidemics;
  • public emergencies; or
  • similar events.

ATH may use commercially reasonable efforts to restore affected Services where practicable.

55. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ATH DISCLAIMS WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY;
  • RELIABILITY; AND
  • RESULTS,

TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

ATH DOES NOT GUARANTEE:

  • BUSINESS SUCCESS;
  • SALES;
  • PROFITS;
  • REVENUE;
  • EMPLOYMENT;
  • CUSTOMERS;
  • COLLABORATION SUCCESS;
  • EVENT QUALITY;
  • SELLER PERFORMANCE;
  • PRODUCT QUALITY;
  • FOOD SAFETY;
  • BUYER PAYMENT;
  • PROVIDER PERFORMANCE;
  • PLATFORM UPTIME;
  • REWARD AVAILABILITY; OR
  • PARTICULAR RESULTS FROM USING THE SERVICES.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

56. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ATH AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY ARISING OUT OF OR RELATING TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ATH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

(A) $100; OR
(B) THE TOTAL AMOUNT YOU PAID DIRECTLY TO ATH DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that applicable law does not permit ATH to exclude or limit.

57. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ATH and its owners, officers, directors, employees, agents, affiliates, and representatives from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable legal expenses arising out of or relating to:

  • your products;
  • your services;
  • food you sell;
  • events you organize;
  • content you submit;
  • your collaborations;
  • your infringement of third-party rights;
  • your illegal conduct;
  • your transactions;
  • your violation of these Terms; or
  • your misuse of the Services.

This provision does not require you to indemnify ATH for claims arising solely from ATH’s own conduct where such indemnification is prohibited by law.

58. INFORMAL DISPUTE RESOLUTION

Before initiating arbitration, you and ATH agree to make a good-faith attempt to resolve covered disputes informally.

A party must send written notice describing:

  • the claimant’s name and contact information;
  • the nature of the dispute;
  • relevant facts;
  • the requested resolution; and
  • sufficient information for the other party to evaluate the claim.

The parties will have 30 days after receipt of a sufficient notice to attempt informal resolution before arbitration may be initiated, unless applicable law requires otherwise.

59. BINDING INDIVIDUAL ARBITRATION

Except for claims expressly excluded below or claims that cannot lawfully be arbitrated, any dispute arising out of or relating to:

  • these Terms;
  • ATH;
  • your account;
  • your membership;
  • transactions;
  • the Services; or
  • the relationship between you and ATH

that is not resolved through the informal process will be resolved through binding individual arbitration.

Unless the parties agree otherwise or applicable law requires a different process, arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA rules.

The arbitrator may award relief available under applicable law for an individual claim.

Judgment on an arbitration award may be entered in a court of competent jurisdiction.

Nothing in this section prevents either party from seeking relief that cannot legally be subjected to arbitration.

60. SMALL CLAIMS EXCEPTION

Either you or ATH may bring an eligible individual dispute in small-claims court if:

  • the claim falls within that court’s jurisdiction; and
  • the claim proceeds individually.

If the matter is transferred, removed, appealed, or otherwise proceeds in a court of general jurisdiction, the arbitration provisions may apply to the extent legally permitted.

61. CLASS ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ATH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED:

  • CLASS;
  • COLLECTIVE;
  • CONSOLIDATED;
  • COORDINATED; OR
  • REPRESENTATIVE

PROCEEDING.

Unless both parties agree otherwise in writing, an arbitrator may not consolidate the claims of multiple individuals or preside over a class, collective, or representative proceeding except where applicable law requires otherwise.

62. JURY-TRIAL WAIVER

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ATH WAIVE ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE COVERED BY THESE TERMS.

63. ARBITRATION OPT-OUT

You may opt out of the arbitration provisions of these Terms by sending ATH written notice within 30 days after the date you first accept these Terms.

Your opt-out notice must include:

  • your full name;
  • the email associated with your ATH account;
  • a clear statement that you wish to opt out of arbitration; and
  • the date of your request.

64. GOVERNING LAW

These Terms and disputes arising out of or relating to ATH will be governed by the laws of the State of California, without regard to conflict-of-laws principles, except where applicable law requires otherwise.

65. COURT VENUE

For disputes permitted to proceed in court and not subject to arbitration, the parties agree, to the extent permitted by law, to venue in:

  • applicable state courts located in Los Angeles County, California; or
  • the applicable federal court serving Los Angeles County where federal jurisdiction exists.

Each party consents to personal jurisdiction in those courts, except where applicable law gives a user a non-waivable right to another venue.

66. CHANGES TO THE SERVICES

ATH may prospectively:

  • add features;
  • remove features;
  • change functionality;
  • modify Services;
  • change eligibility requirements;
  • discontinue Services; or
  • create new products and programs.

New functionality will generally be governed by these Terms unless separate terms are presented.

Additional terms for a particular feature control over these Terms solely to the extent of a direct conflict concerning that feature.

67. CHANGES TO THESE TERMS

ATH may update these Terms from time to time.

ATH may notify users through:

  • email;
  • account notice;
  • in-app notice;
  • website posting; or
  • a combination of methods.

For material changes, ATH may provide additional notice and may require users to affirmatively accept updated Terms before continuing to use some or all Services.

The updated Terms will identify an effective date.

Continued use after updated Terms become effective constitutes acceptance where permitted by law and where affirmative reacceptance is not required.

68. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE

You consent to receiving agreements, notices, disclosures, transaction information, and other communications electronically where permitted by law.

ATH may require users to affirmatively accept these Terms through an unchecked checkbox or other affirmative mechanism.

For example:

“By creating an account, you agree to the Terms & Conditions and acknowledge the Privacy Policy.”

Terms & Conditions and Privacy Policy references should be available through accessible links during acceptance.

ATH may maintain records including:

  • acceptance date;
  • acceptance time;
  • account;
  • applicable Terms version; and
  • related acceptance information.

69. ADDITIONAL COMMERCE AND EVENT ACCEPTANCE

ATH may require separate affirmative acceptance for:

  • paid subscriptions and automatic renewal;
  • seller/provider requirements;
  • commerce rules;
  • food-sale requirements;
  • event-listing rules;
  • payout terms;
  • promotional programs; or
  • other specialized functionality.

Users who do not accept applicable supplemental rules may be unable to use the corresponding feature.

70. LEGAL REQUESTS

ATH may preserve or disclose account information, content, or communications where required by applicable law or valid legal process.

ATH may also make disclosures where legally permitted and reasonably necessary to address an emergency involving an imminent risk of serious harm.

71. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without ATH’s prior written consent.

ATH may assign these Terms, subject to applicable law, in connection with:

  • a merger;
  • acquisition;
  • corporate restructuring;
  • sale of assets;
  • financing;
  • reorganization; or
  • transfer of the ATH business.

72. NO WAIVER

ATH’s failure to enforce a provision of these Terms does not waive its right to enforce that provision later.

A waiver is effective only if made by an authorized party and, where appropriate, in writing.

73. SEVERABILITY

If a provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed as appropriate, and the remaining provisions will continue in effect.

74. NO PARTNERSHIP OR AGENCY

Except where ATH enters a separate written agreement expressly stating otherwise, these Terms do not create a:

  • partnership;
  • joint venture;
  • agency;
  • franchise;
  • fiduciary relationship; or
  • employment relationship

between ATH and a user.

75. ENTIRE AGREEMENT

These Terms, together with applicable:

  • Privacy Policy;
  • subscription disclosures;
  • seller rules;
  • event rules;
  • program rules;
  • checkout terms;
  • supplemental feature terms; and
  • other policies expressly incorporated by reference

constitute the agreement between you and ATH concerning the Services, except where a separate written contract expressly controls.

If an enterprise, project, client-service, or other individually signed agreement conflicts with these Terms, that signed agreement will control with respect to the subject matter it expressly governs.

76. SURVIVAL

Provisions that by their nature should survive account closure or termination will survive, including provisions relating to:

  • accrued payments;
  • refunds;
  • chargebacks;
  • negative balances;
  • ownership;
  • intellectual property;
  • licenses where continued use is expressly permitted;
  • disputes;
  • indemnification;
  • disclaimers;
  • limitations of liability;
  • arbitration;
  • governing law; and
  • other accrued rights or obligations.
